An .mpg file is usually an MPEG program stream: MPEG-1 or MPEG-2 video with MP2 audio, interleaved in the format designed for VideoCD and then for DVD. It is what disc rips, hard-disk camcorders, digital TV capture cards and older editing software all produced, and plenty of it is still sitting on external drives.
The format dates from an era when decoding was done in hardware, and that is the problem now. No browser decodes MPEG-2, phones generally refuse the extension, and while VLC will happily play these files, almost nothing you would want to upload to will accept one.
MP4 solves that completely, and the conversion usually shrinks the file considerably. MPEG-2 is an old and inefficient codec, so the same footage re-encoded to H.264 typically lands at a fraction of the size with no visible difference.
One quirk worth knowing: MPEG files often use non-square pixels. A DVD-sourced clip may be stored as 720x480 but meant to be shown wider than that, and players that ignore the flag show it squashed. The conversion reads the intended display size and writes the MP4 accordingly, so it looks right afterwards.
